A plain-English draft. It will be reviewed by counsel before launch and is not yet in effect.
01What we are
Sold Newsletter is a marketplace that lets sellers list newsletters and lets buyers discover and contact them. We are not a broker, an agent for either party, an escrow agent, or a party to any sale. Each deal is a contract between buyer and seller.
02Accounts
You must be at least 18 and able to enter contracts. Keep your sign-in secure and your profile accurate. One account can buy and sell.
03Fees
Sellers pay a one-time listing fee per listing. Listings asking more than $500K use the Premier plan. Buyers pay a recurring membership, which renews until cancelled. We charge no commission or success fee on any sale. Fees are non-refundable except under the offer guarantee below, where the law requires otherwise, or where we say so in writing.
Launch offers, such as free listings for founding sellers or a free membership period for founding buyers, apply only while we advertise them, to the number of accounts or listings stated, and may end at any time without affecting anyone who has already claimed them.
04Offer guarantee
If you paid a listing fee and your listing doesn't receive a qualified offer within 90 days of going live, we refund that fee in full. A qualified offer is one made through Sold Newsletter by a buyer with a verified identity, for at least 75% of the asking price shown when the offer is made. To qualify, the listing must stay live for the whole period, you must not raise the asking price, and you must answer buyer messages within five business days. Ask for the refund from your dashboard within 30 days of the period ending. Whether you accept an offer is up to you; turning one down doesn't affect the guarantee. One refund per listing; relisting the same newsletter doesn't start a new guarantee.
05Listings and accuracy
Sellers are responsible for the accuracy of everything they list, including metrics marked as verified. Verification reduces risk but is not a guarantee. Buyers should complete their own due diligence.
06Confidentiality
Information shared under a listing's NDA must be used only to evaluate that acquisition. Breaching an NDA may lead to account removal and legal action by the seller.
07Payments between parties
Purchase payments should go through a licensed escrow service. We never hold purchase funds. Do not pay a counterparty outside escrow.
08Your responsibility for deals
Every deal is between the buyer and the seller. Sold Newsletter provides the marketplace and tools, such as listings, messaging, NDA and letter of intent templates, deal rooms and handover checklists. We are not a party to any negotiation, letter of intent, purchase agreement, earn-out or financing arrangement, and we don't act for either side.
We don't vouch for anyone. We don't guarantee that any buyer or seller is who they say they are, is honest, has the money they claim, will complete a deal, will honour an NDA, or will be pleasant or easy to work with. Verification badges, Health Scores, reviews and "verified" metrics mean only that a specific check was passed or a number was read from a connected account on a specific date. They are not endorsements, appraisals or guarantees, and they can be wrong or go out of date.
You do your own diligence. You are responsible for deciding whether to deal with someone, checking every claim yourself, and getting your own legal, tax and financial advice before you sign or pay anything.
09Disputes between users
Disputes about a deal, a listing, an NDA, an earn-out or anyone's conduct are between the people involved. We may help, for example by sharing deal-room records or removing an account, but we don't have to and we don't decide who is right. Disputes over money held in escrow are handled under the escrow provider's own terms.
10No advice
Valuations, the valuation calculator, Health Scores, market data, comparable sales and templates are general information and estimates. They are not appraisals or legal, tax, investment or financial advice, and you shouldn't rely on them as such.
11Reviews
After a deal closes, buyers and sellers can review each other. Reviews must be honest and about the deal. They are the opinions of the people who wrote them, not ours. We don't verify them, though we may remove reviews that break these terms or the Code of Conduct.
12Release
To the extent the law allows, you release Sold Newsletter and its owners, staff and contractors from claims, losses and damages arising from your dealings with other users, including a failed or disputed deal, misrepresentation, non-payment, breach of an NDA, or how a newsletter performs after a sale.
13Indemnity
If someone makes a claim against us because of your listing, your conduct, your deal or your breach of these terms, you will cover our reasonable costs and losses, including legal fees.
14Limitation of liability
The marketplace is provided "as is" and "as available", without warranties of any kind. To the extent the law allows, we are not liable for indirect, incidental or consequential losses, lost profits or lost data, and our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim.
